Worked with CEO of medium-sized U.S. company to develop the terms for a merger with a listed German company that was in fact under the effective control of its founder and CEO. Played a key role in building a positive relationship between two entrepreneurs and crafting terms that met their respective requirements. Provided close supervision of attorneys transposing terms into final legal language in English and German.
Germany-Due Diligence
Retained by major U.S. private equity firm to advise their team on business issues related to the €1 billion purchase from a large German conglomerate of a division with worldwide operations. Led on-site meeting with target’s senior management team. Defined the key metrics for market assessment/growth projections, competitive position, customer satisfaction and costs/productivity as well as a comprehensive review of the U.S. market for the target’s products and services.
U.S.-Growth in a Large Company
As General Manager of American Express’ middle market corporate card business, grew revenues by 46% and pre-tax profits by 63% through expansion of the sales force and reductions in credit write-offs. Subsequently led the expansion and restructuring of all corporate card sales resources.
U.S.-Restructuring and Capital-Raising for Early-Stage Company
As lead investor and board member of $20 million billing services company, led a task force to implement operational and quality metrics and to reduce cost per transaction. Results: client retention rose from 25% to 95% and unit costs were brought down by 50%. Played a major role in raising over $50 million of equity and debt capital.
